On successful completion of the module, students should be able to:

• Display an in-depth knowledge of the law governing the operation, governance and dissolution of the private limited company and an ability to construct or dissect a legal argument as to the applicability of such laws in a given situation.
• Comprehend the principal legal rules affecting the corporation and explain their operation in different circumstances, and upon different actors.
• Examine the applicability of the Companies Acts in a given factual matrix, apply relevant sections of the legislation and predict the outcome of a judicial determination of the problem.
• Interpret a given factual matrix in light of statutory principles and case law, summarise the main legal issues involved and construct an opinion as to the legal position.
• Analyse, debate and criticise particular area of company law and draw conclusions as to its effectiveness and fairness.
